  1. CONCEPTS
    • E-shop - e-shop victoriaboro.lt.
    • Seller - UAB "Estnaila", company code 304215302, registration address - Žalgirio st. 92, entrance 3, LT-09300 Vilnius, Lithuania.
    • Buyer:
      • able natural person, that is, a person who has reached the age of majority, whose capacity is not limited by court order;
      • a minor between fourteen and eighteen years of age who has the consent of his parents or guardians, unless he is emancipated;
      • legal person.
    • Contract - The Buyer and the Seller enter into a purchase and sale agreement for the respective goods, which is considered to be concluded from the moment the Order is confirmed, i.e. the moment the Order is submitted. The terms of each Agreement concluded between the Buyer and the Seller are deemed to be identical to the terms of these Rules and such Agreements are always executed by the parties in accordance with these Rules.
    • Countries – Buyer and Seller together.
    • Rules - these "Rules for buying and selling goods", which are applied to every purchase made by the Buyer in the Electronic Store and to every sales contract concluded between the Buyer and the Seller.
    • Order - goods order, which contains the goods that the Buyer wishes to purchase from the Seller, specified in the same order.
  1. GENERAL PROVISIONS
    • The buyer confirms the Rules after familiarizing himself with them and ticking the box next to the statement "I have read the rules and I agree with them". The Rules approved in this way are a binding legal document for the Parties, which determine the rights and obligations of the Buyer and the Seller, the conditions for purchasing and paying for goods, the procedure for the delivery and return of goods, the parties' responsibilities and other conditions related to the purchase and sale of goods in the E-store.
    • The buyer, creating an account in the E-shop, confirms the Rules during the first registration. After the buyer approves the Rules for the first registration (account creation) at the time the Rules apply to the Buyer's first purchase made in the E-store. When placing subsequent Orders, the Buyer must agree to the Rules at the time of placing the Order each time.
    • The seller has the right to change, correct or supplement the Rules. When the Buyer orders goods in the E-store, the Rules apply, which are valid at the time of submitting the Order, therefore the Buyer is recommended to familiarize himself with the Rules at the time of each Order.
    • The Seller does not assume any risk or responsibility if the Buyer has not fully or partially familiarized himself with the Rules, although he was given such an opportunity.
    • Only Buyers, as defined in point 1.3 of these Rules, have the right to buy in the E-store. The Buyer, by confirming the Rules and having familiarized himself with the Seller's privacy policy, confirms that he has the right to purchase goods in the E-store.
    • If the Seller has the right or obligation to provide the Buyer with information or documents by e-mail, in all cases, the Buyer is responsible for providing the Seller with a working e-mail address belonging to the Buyer.
  1. CONCLUSION OF CONTRACT
    • The buyer can order goods in the E-store by choosing one of the following methods:
3.1.1. by registering online in the E-shop (by entering your username and password); 3.1.2. online without registering in the E-shop.
  • When ordering goods by one of the methods specified in point 3.1 of the Rules, the buyer must indicate in the relevant information fields provided in the E-store system the personal data necessary for the proper fulfillment of the goods order, which are processed in the E-store in accordance with the privacy policy.
  • The contract between the Buyer and the Seller is considered to be concluded when the Buyer, having chosen the purchased-as) product (-es) and after forming the Order, click on the link "PAY". The Buyer is informed about the confirmation of the Order by submitting a notification to the e-mail specified by the Buyer. The Seller sends the Buyer a link to the valid Rules together with the Order confirmation to the e-mail address specified by the Buyer.
  1. PRICE OF GOODS AND PAYMENT
    • The prices of the goods in the E-store and in the created Order are indicated in Euros, including the amount of VAT valid at the time according to the legislation and other taxes, if such were applicable. Goods are sold to the Buyer at the prices valid in the E-store at the time the Order is submitted.
    • The seller is a VAT payer. VAT is included in the price, after confirmation of the Order, the delivery fee is added to the total amount of the goods, if the latter is applicable.
    • By approving the Rules, the Buyer agrees that the documents for the purchase of goods - VAT invoices, which are also the warranty documents applicable to the goods, can be presented to him physically together with the goods or electronically to the e-mail address specified in the Buyer's registration form immediately after the order has been fulfilled. VAT invoices indicate the details of the Seller, the selected goods, their quantity, the discounts granted, the final price of the goods, including all taxes, and other data required to be approved by legal acts regulating accounting.
    • The buyer can pay for the goods using the banks' electronic banking settlement systems and by paying the advance invoice/payment order provided by the E-store within 3 days from the moment of submitting the Order. After choosing to pay with the bank's electronic banking payment systems, the Buyer transfers the money to the account specified by the Seller, indicating the Order No. in the payment destination. In this case, the responsibility for the security of the Buyer's data during payment rests with the relevant bank and/or financial institution, since all monetary transactions take place in the electronic banking system of the bank and/or financial institution. The buyer can also pay for the goods by choosing to pay for the goods to the courier delivering the goods or to the post office by paying for the goods with a bank card.
  1. BUYER'S RIGHTS
    • The buyer has the right to buy goods in the E-store in accordance with these Rules.
    • The buyer, who is a consumer, has the right to refuse the goods Agreement concluded with the E-store by notifying the Seller in writing (by e-mail, specifying the item you wish to return and its order number) no later than within 14 (fourteen) days from the day of delivery of the quality product. The consumer's right to withdraw from a distance contract does not apply to contracts for packaged goods that have been unpacked after delivery and are unsuitable for return due to health or hygiene reasons. Having purchased a low-quality product, the Buyer has the rights provided for by Lithuanian legislation.
    • The Buyer's right discussed in point 2 is implemented in accordance with Article 6.228 of the Civil Code of the Republic of Lithuania10 Article 1.
    • The Buyer can use the Buyer's right discussed in point 2 only if the product has not been damaged or its appearance has not changed substantially, as well as if it has not been used.
    • The buyer has other rights established in these Rules, the Seller's privacy policy, and the legal acts of the Republic of Lithuania.
  1. BUYER'S OBLIGATIONS
    • The buyer must pay for the purchased goods, accept them in accordance with the procedure provided for in these Rules and pay the delivery of goods and, if applicable, customs fees.
    • If the Buyer, during the delivery of the goods, refuses to accept the goods without valid reasons, the Buyer must cover the costs of returning the goods at the Seller's request.
    • The buyer undertakes not to transfer his login data to third parties.
    • In order to place an Order in the E-store, the Buyer can register in the Seller's E-store system and fill out the registration form. When registering, the Buyer must specify the data specified in the form or, if there is no form, provide the following personal data: name, surname, e-mail, address, data necessary for the delivery of the goods.
    • When registering, the Buyer creates individual login data (username and password) and undertakes to keep them confidential and not disclose them to third parties. In order to reduce the risk of unauthorized access to the account created by the Buyer in the name of the Buyer, it is recommended to create a password consisting of at least 10 characters, using both upper and lower case letters, numbers and change it at least every 3 (three) months. It is the buyer's responsibility to ensure that the login credentials they create are sufficiently complex and secure. The buyer is also responsible for any actions (data transfer, submitted Orders, or others.), which are performed in the E-store after logging in with the Buyer's name and password. If the Seller's E-store is used by a third person who has logged in to the account created by the Buyer in the E-store and using the Buyer's login data, the Seller considers this person to be the Buyer.
    • The buyer is responsible for ensuring that the data provided in the registration form is correct, complete and accurate. In the event that the data provided in the Buyer's registration form changes, the Customer must update them immediately. The Seller is not responsible for damage caused to the Buyer and (or) to third parties due to the fact that the Buyer indicated incorrect and (or) incomplete personal data or if personal data has changed, they have not been changed or supplemented.
    • The buyer has the right to change, supplement or cancel the registration data and his registration at any time. After canceling the registration and wanting to use the Seller's E-store again, the Buyer must re-register in the Seller's E-store.
    • The Buyer of the e-shop must comply with these Terms and conditions, clearly indicated in the information sections of the e-shop and not to violate the legal acts of the Republic of Lithuania.
  1. SELLER'S RIGHTS
    • The Seller has the right to cancel the Order without prior notice to the Buyer, if the Buyer, having chosen to pay for the goods using the banks' electronic banking settlement systems, does not pay for the goods within 3 days from the moment of submitting the Order, and in this case it is considered that the goods were not ordered. In this case, the Buyer is informed about the canceled Order at the e-mail specified by the Buyer. postal address.
    • The Seller may not refund the amount paid to the Buyer until the goods are returned to the Seller or until the Buyer provides proof that the goods have been sent to the Seller, whichever occurs first.
    • The Seller has other rights established in these Rules, the Seller's Privacy Policy and the legal acts of the Republic of Lithuania.
  1. SELLER'S OBLIGATIONS
    • The seller undertakes to make it possible to use the services of the E-store, the operating conditions of which are determined by these Rules and other conditions published in the E-store.
    • The Seller undertakes to deliver the goods purchased by the Buyer by the delivery method chosen by the Buyer, based on the conditions set by these Rules.
    • The Seller undertakes to respect the Buyer's privacy, to process the Buyer's Personal Data only in accordance with the Rules, the Seller's Privacy Policy and the legal acts of the Republic of Lithuania and the European Union.
    • When, due to unforeseen circumstances, the Seller cannot deliver the goods purchased in the E-store, the Seller has the right to terminate the Agreement by notifying the Buyer beforehand. The seller can offer a similar product. If the Buyer refuses, the Seller undertakes to return the paid money within 5 working days (except for exceptional cases, if a different deadline has been agreed upon individually and by mutual agreement with the Buyer).
    • Under the conditions provided by the rules, the Seller undertakes to accept the goods returned by the Buyer and return the money paid within 5 working days (except for exceptional cases when the Seller needs a longer term, the Seller can extend it up to 14 working days) from the day of returning the goods or from the presentation of evidence that the returned goods are sent back to the Seller, whichever comes first.
    • The Seller, disagreeing with the Buyer's requirements, must no later than within 14 (fourteen) calendar days from the date of receipt of the Buyer's appeal to the Seller, unless the legal acts of the Republic of Lithuania and the European Union provide otherwise, to provide the Buyer with a detailed, motivated written answer.
    • The Seller undertakes to fulfill other obligations imposed on the Seller in the Rules and legal acts of the Republic of Lithuania.
  1. DELIVERY OF GOODS
    • When purchasing goods in the E-store, the buyer chooses the method of goods delivery: the goods delivery service. The detailed delivery procedure, terms and conditions are specified https://www.victoriaboro.lt/prekiu-pristatymas/
    • The Seller is released from responsibility for the violation of the deadlines for the delivery of the goods, if the goods are not delivered to the Buyer or are delivered late due to the fault of third parties or due to circumstances beyond the control of the Buyer.
    • The Buyer, upon collecting or receiving the goods at the specified address, must together with the Seller or his authorized representative check the condition of the shipment and the item(s) and sign the invoice, waybill or other document of delivery and acceptance of the shipment. After the buyer signs the invoice, waybill or other document of delivery and acceptance of the shipment, it is considered that the shipment has been delivered in a suitable condition, and there are no damage to the goods, the basis of which cannot be attributed to a factory defect, as well as discrepancies in the product(s) assembly (such as can be determined by inspecting the goods outside) is not available. Upon noticing that the package of the delivered shipment is damaged (crumpled, wet or otherwise externally damaged), the product(s) is damaged and/or the product(s) is not properly assembled, the Buyer must note this on the invoice, waybill or in another shipment transfer and acceptance document and write a free-form shipment and/or product(s) violation (non-conformance) act.
    • The buyer has failed to comply with p. 9.3 of the Rules. specified actions, the Seller is released from liability towards the Buyer for damage to the goods, if the basis for the occurrence of such damage is not a factory defect, and for inconsistencies in the composition of the goods, if these inconsistencies can be determined by inspecting the outside of the goods.
    • The risk of accidental loss or damage of the goods passes to the Buyer from the moment the goods are sent to the Buyer.
  1. RETURNING THE GOODS
    • Quality goods can be returned within 14 (fourteen) days from the date of their receipt. Defects of sold low-quality goods are eliminated, low-quality goods are exchanged, returned in accordance with the provisions of the Civil Code of the Republic of Lithuania and approved by the resolution of the Government of the Republic of Lithuania.Retail trade rules".
    • According to 10.1 of the Rules. Mr. within the stipulated term, the Buyer has the right to replace and return all quality goods that do not fall within the "Retail trade rules17 p. In accordance with the aforementioned "Retail trade rules" point, perfumery, cosmetics and toiletries are non-returnable and non-exchangeable.
    • To return an item(- I am), in accordance with 10.1. point, the Buyer must contact the Seller by e-mail by post borogroup@gmail.com and indicate which goods and for what reason he wants to return. For the return of goods within 24 hours from the e-mail upon receipt of the letter, the Seller's representative will contact the Buyer and coordinate the procedure for returning the goods with the Buyer.
    • The following conditions must be met when returning goods:
      • the returned item must be in its original, neat packaging (this clause does not apply in the case of returning a defective product);
      • the product must be undamaged by the Buyer;
      • the item must be unused, without losing its merchandise appearance: intact label, untorn protective film, etc. (this clause does not apply in the case of returning a defective product);
      • quality product is returned (within 14 days) must be of the same configuration as the one received by the Buyer (this clause does not apply in the case of returning a defective product);
      • any gifts that were included with the purchased item must be returned with the returned items.
      • when returning the product, it is necessary to present its purchase document and a completed return document;
      • the seller has the right to refuse to accept the goods returned by the Buyer if the conditions for returning the goods were not met;
    • The buyer can return the goods free of charge in the Seller's store - in Vilnius at Žalgirio 92, entrance 3, door 1 on the left on working days from 9:00 a.m. to 5:00 p.m. 13:00-14:00 lunch break, the store is closed.
    • When a quality product is returned, the Buyer bears the costs of returning the goods, if the goods are returned by sending them according to the rates applied by the shipping company chosen by the Buyer.
    • If a defective product is returned, the return does not cost the customer - these costs are covered by the Seller. In this case, the Seller sends the Buyer a return sticker, which has already been paid for by the Seller. This sticker must be printed by the Buyer, affixed to the return shipment and mailed using the postage meter.
    • Refunds for returned goods can be made in cash (when returning the goods to the Seller's store as specified in point 10.4.1), by bank transfer to the Buyer's bank account as provided in clause 8.5.
    • The Seller is not responsible for the incomplete or delayed order for the returned goods, if the Buyer incorrectly provides the data required for the return.
  1. QUALITY AND EXPIRY DATE OF GOODS
    • The goods offered by the seller are of suitable quality.
    • The Seller is not responsible for the fact that the size, shape, color or other parameters of the goods sold by the Seller may not correspond to the actual size, shape, color or other parameters of the goods due to the characteristics of the computer or telephone device used by the Buyer or other technical reasons beyond the control of the Seller. Product photos are for illustrative purposes only and are exemplary. The colors, inscriptions, parameters, dimensions, sizes, functions, and/or any other features of the original products may look different than in reality due to their visual characteristics, so please refer to the product features that are indicated in the product descriptions. The buyer is recommended to read the product description.
    • Each product sold in the E. store has a certain expiration date, the specific term of which is indicated on the product packaging.
    • In cases where, on the basis of legal acts, a certain expiration date is determined for specific goods, the Seller undertakes to sell such goods to the Buyer in such a way that he is given a real opportunity to use such goods until the end of the expiration date.
  1. RESPONSIBILITY OF THE PARTIES
    • If the Party violates the Rules and/or the obligations stipulated in the Order, it undertakes to indemnify the other party and cover the direct losses suffered by the affected Party as a result of such violation. The Parties confirm and agree that, taking into account the laws in force, the compensation of damages does not release the offending Party from the further performance of its obligations.
    • The parties are exempted from partial or full responsibility for improper or complete failure to fulfill their obligations, if this was done due to force majeure (force majeure) of the operation of the circumstances. A detailed list of circumstances of force majeure is approved in 1996. July 15 By Resolution of the Government of the Republic of Lithuania no. 840. The Parties must immediately, i.e. in the shortest possible time, inform the other Party in writing about such circumstances (force majeure) occurrence or termination.
    • If the Buyer tries to harm the stability and security of the Seller's E-shop or violates his obligations, the Seller has the right to immediately and without warning limit or suspend his access to the E-shop or, in exceptional cases, cancel the Buyer's registration.
    • The buyer is fully responsible for the correctness of the data provided in the registration form. If the Buyer provides inaccurate data in the registration form, the Seller is not responsible for the resulting consequences and acquires the right to demand compensation for the direct losses suffered by the Buyer.
    • The buyer is fully responsible for his actions after registering for the E-store.
    • The buyer is responsible for the security of his registration data. If the registration data is used by a third party, he will be considered the Buyer.
    • The Seller is released from any responsibility in all cases where losses occur due to the Buyer, disregarding the Seller's recommendations and his obligations, not familiarizing himself with these Rules (although such an opportunity was given to him).
    • Neither Party shall be liable for indirect losses suffered by the other Party.
  1. APPLICABLE LAW AND DISPUTE RESOLUTION PROCEDURE
    • Rules, Orders, attachments (if there are any) and other documents related to the goods sold by the Seller in the E-store, drawn up in accordance with the provisions of the legal acts of the Republic of Lithuania and the law of the Republic of Lithuania applies to their interpretation.
    • All disagreements, disputes or claims related to or arising from the goods sold by the Seller and/or the provisions of these Rules shall be resolved through negotiations. If the parties failed to resolve the disagreement, dispute or claim through negotiations within 14 (fourteen) calendar days from takeoff, this disagreement, dispute or claim shall be finally resolved in the courts of the Republic of Lithuania.
  1. PROTECTION OF PERSONAL DATA
    • The Buyer's personal data is used for administration of the Buyer's account in the E-store, identification of the Buyer when issuing accounting documents, fulfilling other obligations arising from these Rules and ensuring the Buyer's ability to use other Seller's services.
    • The buyer's personal data is processed for the purposes of direct marketing and/or personal offers only after receiving the buyer's consent. The buyer's consent is expressed by filling out the registration form and marking the relevant consent fields.
    • What personal data of the Buyer and for what purposes are collected, processed and stored are specified in the Seller's privacy policy.
  1. EXCHANGE OF INFORMATION
    • The buyer sends all messages and questions and otherwise communicates by e-mail. by post borogroup@gmail.com or by phone +37060993480.
    • The Seller sends all notifications in accordance with the procedure provided for in these Rules and the Privacy Policy to the Buyer's specified email address or SMS message to the Buyer's specified phone number during registration or when ordering goods.
  1. FINAL PROVISIONS
    • These Rules are valid from 2021. October 31 Rules are a publicly available document, published publicly in the Seller's E-shop https://www.victoriaboro.lt
    • If any of the provisions of these Rules are declared invalid or inapplicable in accordance with the procedure established by the laws of the Republic of Lithuania, the other provisions of these Rules will continue to be valid and will be applied.
    • Each party undertakes to immediately notify the other party of any change in addresses, telephone numbers, or e-mail addresses specified in the order. If the party does not fulfill the obligation specified in this clause, the notices and other correspondence sent to the last known address of the other party are considered duly served.
    • In the event that the Buyer does not agree with the Seller's response to the Buyer's written claim, the Buyer (natural person, consumer) can submit to the State Consumer Rights Protection Office (Vilniaus st. 25, 01402 Vilnius, e-mail Mr. tarnyba@vvtat.lt , tel. 85 262 67 51, fax.
